2.1 Business Ownership
Dependable Roofing is a C corporation incorporated in the state of Michigan. It will have two shareholders:
- James Murphy will own 50% of the shares of the company.
- Carmine Russo will own the other 50% of the shares.
Both James and Carmine have been in the roofing business for many years and they bring more than 50 years of combined roof contracting experience to the table. When the owners were evaluating their options for the legal structure of the entity, James and Carmine decided not to go the route of limited partnership and instead decided to incorporate a C corporation which they felt had substantial advantages over the limited partnership entity structure.
